This Fundraising Agreement (“Agreement”) is entered into by and between Mueshi Incorporated (“Mueshi”) and the individual or entity (“Campaign Manager”) launching a fundraiser on the Mueshi platform.
1.1. Nonprofit Organizations: If the Campaign Manager is launching a fundraiser on behalf of a legally registered 501(c)3 nonprofit organization, the Campaign Manager hereby affirms and legally agrees that:
2.1. The Campaign Manager agrees to provide an accurate and truthful description of the purpose and intended use of the funds in the fundraiser description section on the Mueshi platform.
2.2. All funds raised must be used exclusively for the purposes described in the fundraising description. Any deviation from this use is strictly prohibited unless prior written consent is obtained from Mueshi.
2.3. The Campaign Manager understands and agrees that Mueshi is not responsible or liable for the proper use or management of the funds by the Campaign Manager.
3.1. The Campaign Manager represents and warrants that: - The information provided in the fundraiser description is accurate, complete, and not misleading.
4.1. The Campaign Manager agrees to comply with all applicable local, state, and federal laws and regulations, including but not limited to those related to fundraising, tax-exempt status, and the use of funds.
4.2. If the Campaign Manager is representing a 501(c)3 nonprofit organization, they must ensure that the organization’s tax-exempt status is maintained and that the use of funds complies with IRS regulations.
5.1. The Campaign Manager acknowledges and agrees that Mueshi Incorporated is not liable for any misuse or mismanagement of funds by the Campaign Manager or any third party.
5.2. Mueshi provides the platform for fundraising purposes only and does not guarantee the success of any fundraiser or the appropriate use of funds by the Campaign Manager.
6.1. The Campaign Manager agrees to indemnify and hold harmless Mueshi Incorporated, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
7.1. Mueshi reserves the right to terminate any fundraiser and this Agreement at any time if it determines, in its sole discretion, that the Campaign Manager has violated any terms of this Agreement or engaged in any fraudulent or illegal activities.
8.1. This Agreement shall be governed by and construed in accordance with the laws of the state in which Mueshi is incorporated, without regard to its conflict of law principles.
8.2. Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
9.1. By clicking the checkbox and launching a fundraiser on the Mueshi platform, the Campaign Manager acknowledges that they have read, understood, and agreed to the terms of this Agreement.
